International Breweries Plc (“the Company”) wishes to inform the Nigerian Exchange Limited (NGX) and the investing public of key changes to its Board of Directors and Company Secretariat.

Effective July 31, 2025, the Board accepted the resignation of Mr. Sunday Omole from his role as Non-Executive Director. The Board expresses its sincere appreciation for Mr. Omole’s immense and impactful contributions to the Company over the years and extends best wishes to him in his future endeavors.

On the same date, the Board approved the appointment of Mrs. Toyin Adeniji as a Non-Executive Director. Mrs. Adeniji is a distinguished finance and development executive with over 28 years of leadership experience across banking, development finance, and private sector growth in Africa and globally. She has held senior roles at the International Finance Corporation (IFC) and most recently served as Executive Director at the Bank of Industry, Nigeria, where she championed transformative programs for SMEs and women-led enterprises.

She currently serves on the board of Nigerian Aluminum Extrusion Company (NIGALEX) and has previously held board positions in both the manufacturing and financial sectors. Mrs. Adeniji is a Fellow of the Institute of Chartered Accountants of Nigeria (FCA) and the Nigerian Society of Engineers (FNSE). She holds an MBA and is an alumna of the Advanced Management Program (AMP) at Harvard Business School. The Board is confident that her appointment will enhance stakeholder value and strategic direction.

In line with NGX regulations, the Company also announces a change in its Company Secretariat. The Board has accepted the resignation of DCSL Corporate Services Limited, which served on an interim basis. The Company appreciates DCSL’s support and contributions during its tenure.

Effective August 4, 2025, Temitope Oluwatosin has been appointed as Company Secretary/General Counsel. Temitope is a seasoned legal and governance professional with over 14 years of experience in the financial services and FMCG sectors. She holds a Bachelor of Laws degree from Obafemi Awolowo University, was called to the Nigerian Bar in 2010, and is a Chartered Secretary and Governance Professional (UK & Ireland), as well as a member of the Chartered Institute of Arbitrators (UK).

Prior to joining International Breweries, Temitope served as Head of Legal (Africa) at PZ Cussons, where she also held the role of Company Secretary for five subsidiaries, including HPZ Limited and PZ Wilmar Limited. Her expertise spans legal advisory, corporate governance, and risk management, and she brings a wealth of strategic insight to her new role.
